Terms of Service
These Terms of Service (the “Terms”) are an agreement between OAS Enterprise LLC, an Ohio limited liability company located in Cincinnati, Ohio (“OAS Enterprise”, “we”, “us”), and the business that signs up for and uses Simple Trucking (the “Customer”, “you”). They cover the Simple Trucking website, apps, driver links and related services (together, the “Service”). By creating an account, ticking “I agree” or using the Service, you accept these Terms. If you accept them for a company, you confirm that you are allowed to bind that company.
1. The Service
Simple Trucking is software for trucking companies, owner-operators and small fleets. It helps with loads and dispatch, invoices and payments, driver settlements, expenses, miles and fuel by state (IFTA), hours of service records, compliance reminders and reports. We may improve, change or remove features over time. If we remove a major feature you pay for, we will tell you in advance.
2. Accounts and users
- You must give true and complete information when you sign up, and keep it up to date.
- You decide who in your company gets a login. Every user can see and change your company’s data. You are responsible for everything done under your account, and for turning off logins of people who leave.
- Keep passwords secret. Tell us at once at support@samad.net if you think someone used your account without permission.
- Driver links let anyone with the link see that load (without rates or money) and mark it delivered. Share them only with the driver, and make a new link if one is shared by mistake.
- You must be at least 18 years old and use the Service for business, not personal or household purposes.
3. Free trial, plans and payment
- We may offer a free trial. When it ends, your plan starts and is charged unless you cancel before then. One free trial per customer; related companies and members of the same household count as one customer.
- Plans are billed in advance, monthly or yearly, and renew automatically until cancelled. Payments are handled by our payment processor (for example Stripe); we do not store full card numbers.
- Prices do not include taxes, which you pay where they apply.
- If you upgrade, the new price applies from your next billing period. If you downgrade, features or limits of the higher plan (for example extra users or trucks) stop working, so export anything you need first.
- Each plan includes the amount of file storage shown on our pricing page. If your files go over it, we will tell you, and you can add extra storage or remove files. We will not delete your files for going over without telling you first.
- Some features are paid add-ons, such as extra storage and PC*MILER truck miles. They are billed on top of your plan. Add-ons that use another company’s product (for example PC*MILER from Trimble) may also come with that company’s license terms.
- We may change prices with at least 30 days’ notice by email or in the app. The new price applies from your next billing period. If you do not agree, you can cancel before then.
- If a payment fails, we will tell you and may limit the account to read-only, or suspend it after 14 days, until it is paid.
- You can cancel at any time in the app or by emailing us. Cancellation takes effect at the end of the paid period.
- Refunds. If you cancel within 30 days after your first paid charge (when your trial ends), we refund that first charge in full, on monthly and yearly plans. After that, monthly plans are not refunded, including for unused days. For yearly plans we refund the full unused months, counted from your billing date (the yearly price divided by 12 for each month). Refunds go back to the card that was charged. Except as stated here or required by law, payments are not refundable.
4. Your data
- Your data is yours. Loads, customers, drivers, documents, invoices and everything else you or your users put in (“Customer Data”) belongs to you.
- You give us permission to store, copy, process and display Customer Data only to run, secure, back up, support and improve the Service for you, and as described in our Privacy Policy. We do not sell Customer Data.
- You confirm that you have the right to put Customer Data into the Service. This includes telling your drivers and staff about it and getting any consent the law requires (for example for phone numbers, licence details or location).
- You can export your data while your account is open. After cancellation we keep it for 30 days so you can come back or export it, and then we delete it, except for copies in backups (deleted on their normal schedule) and records we must keep by law.
5. Acceptable use
You will not, and will not let others:
- break the law, or use the Service for fraud, double brokering, fake invoices or fake documents;
- upload malware, or try to get into other customers’ data, our servers or accounts that are not yours;
- overload, scrape, copy, resell or rent the Service, take apart or reverse engineer its software, or copy its design to build a competing product;
- pretend to be OAS Enterprise or say that you are connected with us when you are not;
- threaten or abuse our staff or other customers;
- send spam or messages people did not ask for through the Service’s email features;
- use storage or downloads far beyond normal business use, for example as a general file-sharing or backup service;
- remove our notices or get around limits of your plan.
We do not review Customer Data and have no duty to, but we may remove content that clearly breaks this section or the law. We may suspend access that breaks this section or puts the Service or other customers at risk. Where we reasonably can, we will tell you first and give you a chance to fix it.
6. Numbers, AI and compliance — please check them
- AI features (for example reading rate confirmations, receipts and documents) can make mistakes. Always check what they fill in before you save, invoice or pay.
- Miles come from map services that give car routes, not truck routes, and can differ from your actual or practical route miles. IFTA, fuel tax, IRP, profit, settlement and driver pay figures are worksheets built from the data you enter. They are not tax, legal or accounting advice. You are responsible for checking them and for what you file and pay.
- Hours of service, ELD, inspection and document reminders are aids only. The Service is not a certified ELD unless we say so in writing. You remain responsible for complying with FMCSA, DOT, state and other rules, and for your drivers’ safety.
- Invoices and emails sent through the Service are sent on your behalf. You are responsible for their content and for the amounts you bill.
7. Services from others
Some features use services run by other companies, such as map and routing services (Google Maps, OpenStreetMap, PC*MILER), email (for example Gmail) and payment processing. Their terms also apply when you use them, and we are not responsible for their availability or results. If you connect your own account or key (for example a Gmail app password or Google Maps key), you are responsible for that account and any charges from that provider.
8. Availability, support and backups
We work to keep the Service running and back up data daily, but we do not promise it will always be available, error-free or that data can never be lost. We may need short breaks for maintenance and will try to schedule them outside business hours. Support is by email at support@samad.net. Export your data from time to time and keep your own copies of documents you must keep by law (for example rate confirmations, bills of lading and fuel receipts).
9. Our property
The Service, its software, design and content (other than Customer Data) belong to OAS Enterprise and its licensors. We give you a limited, non-exclusive, non-transferable right to use it during your subscription under these Terms. If you send us ideas or feedback, we may use them without owing you anything. We may name your company (name and logo) as a customer on our website or in sales materials; tell us at support@samad.net if you do not want this and we will stop.
10. Confidentiality and security
We keep Customer Data confidential and protect it with reasonable technical and organisational measures, such as encrypted connections, hashed passwords, login lock-out after repeated wrong passwords and access limits. If we learn that Customer Data was accessed without permission, we will tell you without undue delay and as the law requires.
11. Ending the agreement
You can cancel at any time (section 3). We can end or suspend your account if you seriously break these Terms and do not fix it within 10 days of our notice, at once for fraud or illegal use, or with 30 days’ notice if we stop offering the Service (in which case we refund prepaid fees for the unused period). Sections 4 (data after cancellation), 6, 9 and 12–15 continue after the agreement ends.
12. Disclaimer
EXCEPT AS SAID IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, OAS ENTERPRISE GIVES NO OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (a) NEITHER PARTY IS LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, FINES OR PENALTIES, OR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES; AND (b) OAS ENTERPRISE’S TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT CAUSED THE CLAIM. These limits do not apply to your payment obligations, to your obligations under section 14, or to liability that cannot be limited by law.
14. Indemnity
You will defend and hold OAS Enterprise harmless from claims by others (including your customers, drivers, carriers and authorities) that arise from your Customer Data, the invoices and messages you send, your loads and operations, or your breaking these Terms or the law, and you will pay the resulting costs, damages and reasonable legal fees.
15. Law and disputes
These Terms are governed by the laws of the State of Ohio and applicable United States federal law, without regard to conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in Hamilton County, Ohio, and both parties agree to those courts. Before going to court, each party will first try in good faith to settle the dispute by contacting the other in writing and talking for at least 30 days. To the fullest extent the law allows, both parties give up the right to a jury trial for any dispute about these Terms or the Service.
16. Changes to these Terms
We may update these Terms. For important changes we will tell you at least 30 days in advance by email or in the app, and ask you to agree again when you next sign in. If you do not agree, you can cancel before the change takes effect. The version and date at the top show which Terms apply.
17. Other terms
These Terms and the Privacy Policy are the whole agreement about the Service and replace earlier discussions. If part of them cannot be enforced, the rest still applies. Not enforcing a right is not giving it up. You may not transfer this agreement without our written consent; we may transfer it to a company that takes over the Service. The Service is run from the United States; you may not use it where that is against the law, or if you are on a United States government list of sanctioned or restricted parties. Neither party is responsible for delays caused by events beyond its reasonable control. Notices to you go to the email on your account; notices to us go to support@samad.net. If these Terms are translated, the English version controls.
